Product Listing and Commission Agreement
Terms for promoting and selling products through FEND Deals page.
1. Agreement Overview
This Product Listing and Commission Agreement governs the relationship between FEND AI, Inc. ("Fend") and partners ("Partners") who list products or services on the FEND Deals page for promotion to our user base.
2. Definitions
- Partner: Company or individual offering products/services through FEND Deals
- Listed Product: Any product or service featured on the FEND Deals page
- Commission: Percentage of sale value paid to Fend for successful referrals
- Conversion: A completed sale resulting from FEND Deals referral
- Promotional Materials: Content, images, and descriptions provided by Partner
3. Product Listing Requirements
Eligibility Criteria
- Product must be relevant to enterprise or startup audiences
- Partner must have established business operations
- Product must comply with applicable laws and regulations
- No competing products to Fend's core services
Listing Content
- Accurate product descriptions and pricing
- High-quality images and marketing materials
- Clear terms of service and refund policies
- Contact information for customer support
4. Commission Structure
Standard Rates
- Software/SaaS products: 15% commission
- Professional services: 10% commission
- Hardware/physical products: 5% commission
- Custom rates available for high-volume partners
Payment Terms
- Commissions calculated on net sale amount (after taxes/refunds)
- Monthly payment cycle with 30-day payment terms
- Minimum threshold of $100 for commission payments
- Detailed reporting provided with each payment
5. Marketing and Promotion
Fend's Marketing Efforts
- Feature products on FEND Deals page
- Include in relevant email newsletters
- Promote through platform notifications
- Social media promotion (at Fend's discretion)
Partner Marketing Responsibilities
- Provide current and accurate promotional materials
- Honor special pricing or offers promoted through Fend
- Maintain adequate inventory/capacity for increased demand
- Respond promptly to customer inquiries from referrals
6. Tracking and Attribution
- Unique referral links provided for each listed product
- 90-day cookie window for conversion tracking
- First-click attribution model for commission calculation
- Real-time dashboard access for Partners to track performance
7. Product Standards and Quality
Partners must ensure:
- Products meet all advertised specifications
- Timely delivery or service provision
- Professional customer support and service
- Compliance with warranty and refund commitments
8. Prohibited Activities
Partners may not:
- Engage in false or misleading advertising
- Use Fend's brand without prior written consent
- Directly compete with Fend's core marketplace services
- Violate intellectual property rights
- Engage in spam or unsolicited marketing
9. Intellectual Property
- Partners retain ownership of their product IP and content
- Partners grant Fend license to use promotional materials
- Fend retains ownership of platform technology and user data
- No transfer of trademark or brand rights
10. Performance Requirements
Partners must maintain:
- Minimum 95% order fulfillment rate
- Average response time of 24 hours for customer inquiries
- Customer satisfaction score of 4.0+ (if measured)
- Compliance with advertised delivery timeframes
11. Termination and Suspension
Termination Rights
- Either party may terminate with 30 days' written notice
- Immediate termination for material breach
- Suspension for performance issues pending resolution
Effect of Termination
- Removal of products from FEND Deals page
- Final commission payment for completed transactions
- Cessation of new referral generation
- 90-day period to honor existing customer commitments
12. Reporting and Analytics
Partners receive access to:
- Real-time conversion tracking
- Monthly performance reports
- Customer demographic insights (anonymized)
- Commission statements and payment history
13. Support and Communication
- Dedicated partner support team
- Monthly partner newsletter with platform updates
- Quarterly business review meetings (for significant partners)
- Technical integration support as needed
